Terms of Use
These Terms of Use (the "Terms") are a legal agreement between you and Truepoint One Inc., an Ontario corporation carrying on business as BarPrepPal ("BarPrepPal", "we", "us" or "our"). BarPrepPal is a business name of Truepoint One Inc. The Terms govern your access to and use of the website at barpreppal.ca (the "Site") and every product and service made available through it (together, the "Services").
By creating an account, making a purchase, or using the free diagnostic, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.
1. About BarPrepPal
1.1 BarPrepPal provides online practice examinations, practice question sets and related study material for candidates preparing for the Law Society of Ontario barrister and solicitor licensing examinations.
1.2 BarPrepPal is an independent business. We are not the Law Society of Ontario and we are not affiliated with, endorsed by, sponsored by or otherwise connected to the Law Society of Ontario or any other regulator. Nothing on the Site is an official Law Society publication, and our questions and explanations are not, and do not reproduce, Law Society study materials or past examinations.
1.3 Our questions and explanations are developed by experienced Ontario lawyers and vetted by our editorial team. They are written against the primary sources of law (statutes, regulations, rules and reported decisions) and are our own original work. We do not publish the names of individual authors.
2. Eligibility and accounts
2.1 You must be at least 18 years of age and capable of entering into a binding contract to use the Services.
2.2 To purchase or write an examination you must create an account. We use email sign-in links rather than passwords: each time you sign in, we send a single-use link to the email address on your account. You are responsible for the security of that email account and for all activity that occurs under your BarPrepPal account. Notify us promptly at support@barpreppal.ca if you believe your account has been accessed without authority.
2.3 You must provide accurate information when you register and keep it current. We may refuse, suspend or close an account that we reasonably believe is inaccurate, shared with another person, or being used in breach of these Terms.
2.4 One account is for one person. Account sharing is a breach of these Terms (see section 6).
3. Products and prices
3.1 The Services currently include: six full-length practice examinations (three Barrister, three Solicitor), each of 160 questions written against a time allotment that matches the real examination (4 hours 30 minutes), which may be taken in timed or untimed mode; seven practice sets of 40 questions, one for each subject area; a 100-question Professional Responsibility practice examination (the "PR Mini Exam"); and two free 20-question diagnostics (the "Free Diagnostics"). Each product is described, with its price, on the Packages page of the Site.
3.2 All prices are in Canadian dollars and exclude applicable taxes. Harmonized sales tax or other applicable taxes are calculated according to your billing address and displayed before you confirm payment. Payment is processed by our third-party payment processor; we do not receive or store your full card details.
3.3 We may change our products and prices at any time. A change does not affect a purchase you have already completed.
3.4 The content of the question bank is kept current through regular editorial review. We may correct, replace, retire or add questions during your access period. Your purchase gives you access to the relevant product as it stands from time to time, not to a fixed copy of its contents.
4. Delivery and access period
4.1 Digital access is delivered immediately once your payment is confirmed. The products you purchased appear on your "My exams" page and may be started at once.
4.2 Access to a purchased product is time-limited: you have full access until exam day. Your access period runs from the date of purchase until the end of the day (Toronto time) of the next Law Society of Ontario licensing examination sitting for the corresponding examination after your purchase date. Barrister products (the Barrister practice examinations and the Civil Litigation, Criminal Law, Family Law and Public Law practice sets) run until the next Barrister examination. Solicitor products (the Solicitor practice examinations, the Business Law, Real Estate Law and Estates Law practice sets, and the PR Mini Exam) run until the next Solicitor examination. A package that includes both runs each product until its own examination. A purchase made on the day of a sitting runs until the following sitting of that examination. The end date of your access period is shown before you buy and on your "My exams" page after you buy. Sitting dates are those published by the Law Society of Ontario; if the Law Society changes a sitting date after your purchase, your access period follows the new date.
4.3 Within your access period you may attempt a purchased examination or set as many times as you wish, in timed or untimed mode. Each attempt presents the questions in a new random order.
4.4 When your access period ends you can no longer start, resume or review a product's questions and explanations. Your scores by subject area for graded attempts remain visible on your account. Access also ends if your account is suspended or closed under these Terms. We do not extend an access period for deferral, illness or a change of plans, except under the Free Repeat in section 8 or where the law requires.
5. Licence
5.1 Upon payment, we grant you a personal, limited, non-exclusive, non-transferable and revocable licence to access and use the products you have purchased, through the Site, for your own examination preparation only, during the access period.
5.2 All questions, answers, explanations, case facts, selections and arrangements, software, design, text, graphics and other content on the Site (the "Content") are owned by Truepoint One Inc. or its licensors and are protected by Canadian and international copyright and other intellectual property laws. The licence in section 5.1 is the only right you receive. All other rights are reserved.
6. Restrictions on use
6.1 You shall not, and shall not permit or assist any other person to:
(a) share your account, sign-in link or access with any other person, or allow any other person to write an examination or set under your account;
(b) copy, reproduce, download, print, screenshot, photograph, record, scrape, extract, transcribe or otherwise capture any Content, except for the transient display necessary to use the Services as intended;
(c) publish, post, distribute, sell, lend, rent, sublicense or otherwise make any Content available to any third party;
(d) use any Content, or any data derived from the Services, to create, train, test or improve any product, database, dataset, artificial-intelligence or machine-learning model, or competing service;
(e) reverse engineer, decompile or attempt to derive the source code of the Site, or circumvent any technical measure that protects the Content, including the randomized ordering of questions;
(f) probe, scan or test the vulnerability of the Site, interfere with its operation or with any other user's use of it, use automated means to access it, or use it to transmit anything unlawful.
6.2 If we reasonably believe an account is being shared or Content is being copied or distributed in breach of this section, we may suspend or close the account immediately and without refund, and we reserve all other rights and remedies, including damages and injunctive relief.
7. Refunds
7.1 Because digital access is delivered in full the moment your payment is confirmed, all sales are final. We do not provide refunds, credits or exchanges for change of mind, unused or partially used access, dissatisfaction with the content, deferral of or withdrawal from the licensing process, or an unsuccessful examination result.
7.2 A promotional price, a price reduction after your purchase or a later change to our catalogue does not entitle you to a refund or credit.
7.3 Nothing in this section limits any right you have under the Consumer Protection Act, 2002 (Ontario) that cannot be waived. Where that Act gives you a right to cancel an internet agreement, the Act governs the cancellation and any refund.
7.4 If you believe you were charged in error (for example, a duplicate charge), contact support@barpreppal.ca within 30 days of the charge and we will investigate and, where an error is confirmed, correct it.
8. Free repeat after an unsuccessful examination
8.1 If you do not pass a Law Society of Ontario barrister or solicitor licensing examination at the sitting for which you purchased a BarPrepPal product, you may apply, once, for a free renewal of access to the corresponding purchased product for a new access period ending at the end of the day of the next sitting of that examination (a "Free Repeat").
8.2 To qualify, all of the following must be true:
(a) you purchased the product before the date of the examination you did not pass;
(b) within 30 days after the Law Society releases the result, you send to support@barpreppal.ca, from the email address on your account, a copy of the official result showing your name, the examination, the sitting and the result;
(c) the product corresponds to the examination (a Barrister result renews Barrister products; a Solicitor result renews Solicitor products; a package that includes both renews only the part that corresponds to the unsuccessful examination); and
(d) your account is in good standing and has not been suspended or closed for breach of these Terms.
8.3 A Free Repeat is granted only after we have reviewed and approved your application. We may request further information and may refuse an application that is late, incomplete, illegible, altered, inconsistent with the Law Society's record or otherwise not satisfactory to us, acting reasonably. Our decision is final.
8.4 A Free Repeat renews access only. It has no cash value, is not a credit and is not transferable. It does not apply to the Free Diagnostics. One Free Repeat is available per purchased product; a second unsuccessful result does not earn a further renewal.
8.5 Your result is used solely to decide your application and to keep a record of the decision, as described in our Privacy Policy.
9. Free Diagnostics
9.1 The Free Diagnostics are provided free of charge, as a sample of the Services, and "as is". You may start a Free Diagnostic without an account; an account is needed only to keep your results. We may change, limit or withdraw the Free Diagnostics at any time without notice. No Free Repeat, support obligation or access guarantee applies to them.
10. No professional advice; no guarantee of results
10.1 The Services are study aids. An explanation accompanying a practice question is a teaching note for that question only. It is not legal advice, is not advice on any actual matter and must not be relied on as such.
10.2 We do not guarantee that you will pass any examination, and we make no representation that our questions predict the content, scope, difficulty, style or marking of any Law Society examination.
10.3 The law changes. Although we review our content regularly, we do not warrant that any question, answer or explanation is accurate, complete or current at any particular time.
11. Availability
11.1 We aim to keep the Site available at all times but do not guarantee uninterrupted or error-free access. Maintenance, failures of our hosting or other service providers, or events beyond our reasonable control may interrupt the Services. If an interruption prevents you from completing a timed attempt, you may start the attempt again; we are not otherwise liable for an interruption.
12. Disclaimer of warranties
12.1 To the fullest extent permitted by applicable law, the Site, the Content and the Services are provided "as is" and "as available", and we disclaim all warranties, conditions and representations of any kind, whether express, implied or statutory, including any implied warranty or condition of merchantability, merchantable quality, fitness for a particular purpose, durability, title, accuracy and non-infringement.
13. Limitation of liability
13.1 To the fullest extent permitted by applicable law, neither Truepoint One Inc. nor its directors, officers, employees, contractors, authors or licensors will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, opportunity or data, examination fees, an unsuccessful examination, a delayed call to the bar or a lost employment or articling opportunity, arising out of or in connection with the Services or these Terms, whether in contract, tort (including negligence), statute or otherwise, and even if we were advised of the possibility of such damages.
13.2 Our total aggregate liability to you for all claims arising out of or in connection with the Services or these Terms is limited to the amount you paid to us for the product giving rise to the claim in the twelve (12) months before the claim arose. For the Free Diagnostics, our liability is limited to one hundred dollars ($100).
13.3 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including any right under the Consumer Protection Act, 2002 (Ontario) that cannot be waived.
14. Indemnity
14.1 You agree to indemnify and hold harmless Truepoint One Inc. and its directors, officers, employees, contractors and licensors from and against all claims, losses, damages, liabilities and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services, your breach of these Terms, or your infringement of any right of a third party, except to the extent caused by our own gross negligence or wilful misconduct.
15. Privacy
15.1 We collect, use and disclose personal information in accordance with our Privacy Policy, available at barpreppal.ca/privacy. By using the Services you consent to that collection, use and disclosure.
16. Electronic communications
16.1 You agree to receive communications from us electronically, including transactional messages about your account, purchases, results and Free Repeat applications, and you agree that such electronic communications satisfy any legal requirement that a communication be in writing. We will send marketing messages only with your express consent, which you may withdraw at any time. A notice to you is effective when sent to the email address on your account; a notice to us is effective when received at support@barpreppal.ca.
17. Changes to the Services and to these Terms
17.1 We may modify the Site, the Content and the Services at any time, including by adding, correcting, replacing or retiring questions and by changing the composition of a product, provided that we do not materially reduce the substance of a product you have already purchased during its access period.
17.2 We may amend these Terms from time to time. The amended Terms will be posted on the Site with a new "Last updated" date and apply to purchases made after that date. Your continued use of the Services after the amended Terms are posted constitutes acceptance of them.
18. Suspension and termination
18.1 We may suspend or terminate your access to the Services, without refund, if you breach these Terms, if we are required to do so by law, or if we discontinue the Services. You may close your account at any time by contacting us.
18.2 Upon termination your licence ends. Sections 5, 6, 7, 10, 12, 13, 14, 19 and 20, and any other provision that by its nature should survive, will survive termination.
19. Governing law and disputes
19.1 These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
19.2 You agree that the courts of Ontario have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, subject to any right you have under the Consumer Protection Act, 2002 (Ontario) to commence a proceeding elsewhere. Before commencing a proceeding, you agree to contact us at support@barpreppal.ca and attempt in good faith to resolve the dispute informally for at least 30 days.
20. General
20.1 These Terms, together with the Privacy Policy and the particulars of your purchase shown at checkout and in your receipt, constitute the entire agreement between you and us concerning the Services and supersede all prior agreements and understandings.
20.2 If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force.
20.3 Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign or transfer these Terms or your account. We may assign these Terms to a successor or affiliate without notice.
20.4 Headings are for convenience only. The English version of these Terms governs any translation.
21. Consumer Protection Act, 2002 (Ontario)
21.1 If you are a consumer in Ontario and the Consumer Protection Act, 2002 applies to your purchase, you have the rights that Act provides and those rights prevail over anything in these Terms that is inconsistent with them. Before you complete a purchase we disclose the information the Act requires, give you an express opportunity to accept or decline the purchase and to correct errors, and deliver a copy of your agreement (these Terms and the particulars of your purchase) to the email address on your account.
